Chandni Chawla is an Associate Partner with the New Delhi office of Phoenix Legal. She is part of the corporate practice group of the firm and focuses on foreign direct investments, M&As, joint ventures, restructuring, general corporate and commercial matters.

She has significant experience in advising foreign investors and multinational corporations on structuring and negotiating financial and strategic investments, M&A and joint venture transactions and various related aspects of Indian commercial and company law across diverse sectors including automotive, aviation, e-commerce, chemicals, healthcare, information technology, manufacturing, and power.

Chandni advises clients on a wide range of issues involving antiā€corruption, competition law, corporate governance, exchange control laws, data privacy and protection of personal information, labour and employment. She also has experience in the areas of white-collar crimes and forensic and corporate internal investigations. She has advised several foreign companies on anti-corruption, anti-bribery issues, anti-money laundering and fraud investigations. Additionally, she has also assisted in litigation matters involving commercial disputes, insolvency, share transfer and shareholder disputes.

She has also been involved in rendering pro bono legal advice to international non-profit organizations in relation to their activities furthering social causes in India.

  • Represented and advised Dell in sale of its Boomi business by way of sale of shares of Boomi Inc., an indirect subsidiary of Dell Technologies Inc. to Bayshore Holdings 2021 L.P, specifically assisted on the internal reorganization involving hiving off the Boomi's Indian business in India to a separate entity for transfer to the buyer.
  • Represented and advised Cooper Standard Automotive Inc. in divestiture of its rubber fluid transfer and specialty sealing businesses as well as its Indian operations (comprising two manufacturing subsidiaries) including to Mutares SE & Co. KGaA.
  • Represented Visteon Corporation, a leading global automotive supplier and a Fortune 500 company based in US on several matters including 100% acquisition of a Bangalore based information technology company, Allgo Embedded Systems Private Limited and acquisition of automotive electronics business In Chennai from Hanon Systems.
  • Represented Schulke GmbH, Germany, (then a wholly owned business of Air Liquide group) on a global acquisition of assets constituting healthcare antisepsis solutions business of Johnson & Johnson Inc.
  • Advised Dynavax Technologies Corporation, a US listed biopharmaceutical company, on structuring and setting up its presence in India to facilitate implementation of its project with Serum Institute of India in Pune.
  • Represented TTEC (previously known as TeleTech Holdings), a US-based company on an acquisition of an Indian company providing call centre services in India.
  • Represented Dell EMC, a US multinational technology company, on transfer of business from Dell’s Indian subsidiary, EMC Software and Services India Private Limited to VMware Software India Private Limited, as part of a global transfer of one of Dell’s application businesses to VMware Inc.
  • Represented the Belectric group, a German solar energy group which is part of the RWE group of companies, on the sale of its Indian subsidiary, Jurchen Technology India Private Limited, to Lafayette Mittelstand Capital.
  • Represented CLP India, part of CLP Group, one of the largest investor-owned power businesses in Asia, on an acquisition of solar power plants from Suzlon.
  • Assisted a US multinational corporation in carrying out a comprehensive internal and limited external investigation on vendor dealings and vendor selection processes, and in advising on control systems to be put in place for selection of vendors.
  • Assisted a German-based company, engaged in the business of developing and manufacturing components for the automotive industry, in carrying out a detailed internal investigation against the management of its Indian subsidiary based on claims raised by an erstwhile employee.
  • • Assisted and advised several multinational corporations in restructuring their operations in India including transfer and retrenchment of employees, structuring and harmonization of compensation packages post acquisitions, drafting services rules and employees' code of conduct.
