Aditi has advised and represented Indian companies, foreign companies including Fortune 500 companies and private equity funds on transactional work as well as regulatory compliance.

  • Arnab Goswami, one of the most prolific news media personalities and opinion makers in India, on his high profile exit from the Times Group and setting up of a news media venture, including advising on structure, drafting and negotiating minority stake dilution documents in the media company and multiple rounds of investments in the holding company, representations before the Ministry of Information & Broadcasting to obtain the license, advising on all aspects of setting up and operationalising the business.
  • Arnab Goswami on repurchase of Republic TV (ARG Outlier Media Asianet News Private Limited) shares from Asianet News Media and Entertainment Private Limited.
  • ADQ in its investment in Girnarsoft Education Services Private Limited which operates “CollegeDekho”, an online college admissions and higher education services platform.
  • Ciena Corporation, advised on the acquisition of 100% business of Centina Systems through the merger process.
  • Intuitive Surgical Inc, a Fortune 500 company, on starting of its activities in India involving distribution in India of robotic surgical arms / systems manufactured by the client
  • Padmini VNA Mechatronics on a joint venture with Vitesco Technologies (part of Continental group) to manufacture and sell automotive parts in India.
  • A UK listed company, advised on transfer of entire business of an Indian company engaged in the IT/ ITES business (except the property) to the SPV by way of a slump sale and other reorganization activities as part of the proposed transaction.
  • F & B Asia Ventures (Singapore) Pte Limited, a division of private equity Everstone Capital, on its acquisition of the majority stake in Massive Restaurants Private Limited, which runs the Indian-themed Masala Library, Made in Punjab and Farzi Cafe chain of restaurants and cafes.
  • An infrastructure fund of the IDFC group on its acquisition of stake in Delhi Cargo Service Center Private Limited (DCSC) by way of (i) purchase of 26% stake in DCSC from Delhi International Airport Private Limited; (ii) subscription of additional equity shares and optionally convertible debentures of DCSC; and (iii) purchase of additional equity shares from other shareholders.
  • Royal & Sun Alliance Insurance Plc, on its sale of 26% stake in its Indian joint venture and obtaining regulatory approvals, including approval of the Insurance Regulatory and Development Authority of India, Reserve Bank of India, Competition Commission of India.
  • Hivest Capital Partners, a French private equity firm, on India-related implications of its acquisition of a minority stake in the Eolane Group, an electronic manufacturing services provider, employing over 3,200 people at 24 sites in 5 countries (in collaboration with DLA Piper France LLP).
  • Navis Capital on sale of its controlling stake in Classic Stripes Private Limited, a joint venture between the Navis group and Kishore Musale, and simultaneous acquisition by the Navis group of the entire stake held by Classic Stripes in its overseas subsidiaries in Delaware and Indonesia respectively.
  • Sandvik Asia Private Limited on a slump sale of its wielding wire business to ESAB India Limited. The transaction was part of the global sale of the stainless steel and nickel alloy welding consumables business of Sandvik group to ESAB entities in various jurisdictions.
  • Ramprastha Promoters and Developers Private Limited in its joint venture with a leading real estate company for developing a group housing project, including advising on various foreign direct investment related issues and drafting of definitive documentation, negotiating and closing of the transaction.
